ARTICLE I:  Name
The name of this organization shall be the Southeast Iowa Bandmasters Association.

ARTICLE II:   Purpose
The Southeast Iowa Bandmasters Association (a district of the Iowa Bandmasters Association) is organized exclusively for educational purposes; to promote, encourage, enhance, and improve the interest in and quality of band music in Iowa, and including for such purposes the distribution of funds only to organizations that qualify as exempt under section 501 (c) (3) of the Internal Revenue Law.

ARTICLE III:  Membership and Dues
Membership in this association shall consist of four classifications. (1) Active membership shall be available to any person engaged in directing bands or teaching instrumental music. (2) Associate membership shall be available to any person or firm interested in instrumental music. (3) Retired membership shall be granted to any band director or teacher of instrumental music who has retired from active teaching or conducting. This classification may continue full membership. (4) Student membership shall be granted to any person enrolled in a university or college in an instrumental music curriculum pursuant to the teaching of instrumental music. Only active members will be allowed to vote. Dues shall be paid annually each calendar year. The amount of dues shall be $10 for active membership, $5.00 for associate membership, $5.00 for student membership, and free for retired membership. Participation in Southeast Iowa Bandmasters Association activities will be incumbent upon each director belonging to the Southeast Iowa Bandmasters Association and the Iowa Bandmasters Association.

ARTICLE IV:   Officers
The officers of this organization shall be the President, President-elect, Secretary, Treasurer and Membership. Officers are elected to two-year terms (successive terms for Secretary, Treasurer, Membership and Mentorship are acceptable). The President shall preside at all meetings. The President-elect is responsible for overseeing the district nomination and election process and shall assist the President in carrying out the duties of the office and assume the office of President in case the President shall be unable to serve. The Secretary will carry out all correspondence and keep all minutes of Southeast Iowa Bandmasters Association meetings. The Treasurer will handle all funds, pay bills, and give proper accounting of the same at each meeting in addition to transacting the normal duties of the office. The Membership chair will collect dues and membership cards, input information into date base files and forward checks to the Treasurer. The Past President shall advise the Executive Board and assist the President at the latter's request.

ARTICLE V:  Election of Officers
The office of President-elect, Secretary and Treasurer will be voted on and elected by the May meeting (Iowa Bandmasters Conference). This Board shall assume new offices at the conclusion of the annual Iowa Bandmasters Association Conference.

ARTICLE VI:   Executive Board
The Executive Board shall consist of the President, President-elect, Secretary and Treasurer. The President may call meetings of this group. The Executive Board shall approve payment of all bills and assist the President in conducting the affairs of the Southeast Iowa Bandmasters Association. The Executive Board shall have the power to fill a vacancy of an elective office.

ARTICLE VII:  Board of Directors
The Board of Directors will consist of the following Southeast District Committee Chairs: Membership, Honor Band Festival, Junior High Large Group, Elementary-Jr. High Solo & Ensemble Festival, Jazz Festival, High School Concert Band Festival. Southeast district representatives to IBA Affairs: Elementary Affairs, Junior High Affairs, Concert Band Affairs, Marching Band Affairs, Jazz Band Affairs, College Affairs, Student Affairs, IBARD, Mentorship and Research and Development. The Board of Directors will serve three-year terms (successive terms are acceptable) and be an advisory group for the Executive Board. Chairpersons will be voted on and elected at the May meeting. Incomplete terms shall be filled at the behest of the President.

ARTICLE VIII:   Districts
The Southeast Iowa Bandmasters Association District shall consist of the following counties: Cedar, Davis, Des Moines, Henry, Iowa, Jefferson, Johnson, Keokuk, Lee, Louisa, Mahaska, Muscatine, Poweshiek, Scott, Van Burern, Wapello and Washington counties. Outside district schools may petition for membership.

ARTICLE IX:  Quorum
Simple majority of the active members shall constitute a quorum to transact the business of the Association at the August/September, January and May meetings. A simple majority of the Executive Board shall constitute a quorum of the board.

ARTICLE X:  Annual Audit
In lieu of an annual audit, the books will be open for review to the membership at the May meeting.

ARTICLE XI:  Amendments
These By-Laws may be amended at any official meeting of the membership by a vote of two- thirds of the members present. An amendment must be presented in writing before a vote may be taken.

ARTICLE XII:  Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these by- laws and any special rules of order the association may adopt.

Article XIII:  Dissolution
This Association may be dissolved by a two-thirds (2/3) vote of those present and entitled to vote at any membership meeting or special meeting called for that purpose. Upon dissolution, the Executive Board, after making provisions for the payment of all liabilities of the Association by distribution to such organization or organizations organized and operated for purposes comparable to this Association and exempt from Federal Income Tax under section 501 (c) (3) of the Internal Revenue Code of 1954 (or of corresponding provision of any subsequent Internal Revenue law). All remaining funds will be distributed equally among school districts that are current members of this Association.

Article XIV:  Non-Profit Organization
No part of the net earnings of the Association shall inure to the benefit of or be distributable to its members, officers or other private person except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof. No substantial part of the activities of the Association shall be the carrying on of propaganda, or otherwise attempting to influence legislation and the Association shall not participate in or intervene in any political campaign on behalf of any candidate for political office. Furthermore, that the Association will abide by section 501 (c) (3) of the Internal Revenue Code of 1954 and any subsequent corresponding section of the same.

ARTICLE XV:  Tax Exempt Status
Notwithstanding any other provisions of these articles. The Association shall not carry on any other activities not permitted to be carried on (a) by an association exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code of 1954 (or any subsequent corresponding provisions of future United States Internal Revenue Law) or (b) by an association, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code of 1954 (or the corresponding provisions of any future United States Internal Revenue Law).
